Bulletin from Annual General Meeting of Diamyd Medical AB

The Annual General Meeting of Diamyd Medical AB (publ) was held on December 2, 2021.

The Company's income statement and balance sheet were adopted, and the Board members and the Chief Executive Officer were discharged from liability for the fiscal year 2020/2021. The Annual General Meeting approved the Board's proposal that no dividend be paid for the fiscal year 2020/2021. Erik Nerpin was re-elected as Chairman of the Board and Anders Essen-Möller, Maria-Teresa Essen-Möller, Torbjörn Bäckström and Mark A. Atkinson were re-elected to the Board. M.D, Ph.D Karin Hehenberger, founder and CEO of Lyfebulb, was elected as new Board member.

The Annual General Meeting approved the proposed remuneration to Board members and the Chairman of the Board.

The Annual General Meeting resolved to re-elect the auditing company BDO until the end of the Annual General Meeting 2022. Principal auditor is the authorized public accountant Johan Pharmanson.

The Annual General Meeting resolved to authorize the Board, on one or more occasions prior to the next Annual General Meeting to issue shares and to deviate from the shareholders' preferential rights when so doing. Payment may be made in cash, through a contribution or by offsetting. In a share issue for cash payment and in deviation from the shareholders' preferential rights, the number of shares issued pursuant to the authorization may not exceed 20 percent of the shares in the Company when the share issue occurs.
